TERMS AND CONDITIONS
Terms and Conditions
By checking the box, you agree to the following terms and conditions (the "Agreement") as a legally binding contract between you and Artemis Distribution s.r.o. ("Licensee").

Parties

The agreement is entered into between Artemis Distribution s.r.o. ("Licensee") and the individual or entity named as the Licensor.

Licensed Rights
-
The Licensee is granted exclusive worldwide rights for Free TV, Pay TV, Catch Up rights, S-VOD, T-VOD, Transport, EST, Internet Rights, Theatrical Rights, Clip Rights, and Non-Theatrical Rights for marketing and promotional activities.

Licensed Film, Territory, and Fees

The agreement includes exclusive worldwide rights at no cost to the Licensee.

Territory Options
-
Additional territories may be added during the term through written notice without any additional fees.

Term
-
The license period is three years from the first transmission in the territory or twelve months from technical acceptance, whichever is later.

Holdback
-
Licensor agrees not to exhibit the licensed films on other dedicated channels or free internet platforms during the term and grants the Licensee the sole right to sublicense or sell the film to third parties.

Delivery and Technical Specifications

Materials must be submitted within 10 days of the agreement’s date. Delivery instructions will be emailed to the Licensor.

Renewal Option

Licensee has the option to renew the agreement for an additional period at no cost.

Confidentiality

Both parties agree to confidentiality regarding the terms and related information unless legally required to disclose.

Indemnity
-
The Licensor indemnifies the Licensee from any claims or losses due to breaches or negligence, including any claims arising from third-party rights related to the film.

Force Majeure
-
Neither party will be held responsible for delays or failures due to unforeseen circumstances beyond their control.

Assignment
-
Licensor may not assign rights without prior written consent. Licensee may assign the agreement to affiliates or entities resulting from mergers or acquisitions.

Governing Law
-
This agreement will be governed by Slovak law, and disputes will be resolved under the jurisdiction of Slovak courts.

Severability
-
If any provision is deemed invalid, the remainder of the agreement remains enforceable.

Post-Term Rights
-
Upon expiration of the term, Licensee retains the right to sell, sublicense, or distribute the film in any format or territory. Licensor agrees to provide all necessary permissions to ensure no infringement claims arise from third parties.
